OpenAI-Backed Thrive Holdings Acquires ADT for $7.6B

Thrive Holdings, the private-equity spin-out from Josh Kushner’s Thrive Capital, has agreed to acquire ADT for $10 per share, or about $7.6 billion in equity, the companies announced Thursday. ADT said the deal’s total enterprise value is $15.3 billion. Thrive Holdings counts OpenAI as both a partner and an investor; its stated mission is to hold companies long-term and revitalize them with AI. The firm currently says it holds more than 75 companies. Under the partnership, OpenAI supplies AI models, technology, and forward-deployed engineers to Thrive’s portfolio companies.
Neither ADT nor Thrive disclosed specific new AI-powered security products, but they said the plan is to invest and release new products. A press release said ADT “will form the foundation of Thrive Holdings’ smart home security business.” The deal comes amid a wave of AI-powered physical security: Apple recently entered smart home and home security through a collaboration with LG and Schneider Electric, Amazon updated its smart home line with new AI-powered cameras, and some startups are offering AI dog robots as roving security guards.
