Anthropic commits shares to Public Benefit Fund

Anthropic has committed a portion of its shares to the Anthropic Public Benefit Fund, a new entity structured so its stake grows with the company. Subject to stockholder approval, 5% of Anthropic‘s shares will be committed today, with an additional 2% added at the board’s discretion for every 50% increase in the company’s value above a set baseline.

As a public benefit corporation, most mission-related work remains inside Anthropic: AI safety and interpretability research, applied biomedical research, and discounts on Claude for nonprofits and scientific institutions. The fund is meant to add flexibility and scale, potentially enabling large donations to traditional nonprofits or direct distributions to specific populations. As one example, Anthropic notes AI could create enormous economic value while causing instability for workers, and the company has already committed $200 million to studying and addressing labor market impacts, but bolder approaches may be needed.

The fund is structured as a wholly-owned LLC rather than a 501(c)(3), giving adjustability between forms of giving, and none of the equity it holds will be used for lobbying or political giving in the US or abroad. This builds on earlier commitments: co-founders pledged to donate 80% of their equity at founding, and an equity donation match program has about half of employees participating. Combined with today’s commitment, roughly 20% of Anthropic shares will be dedicated to the public good, plus any additional percentage that could be added if the company reaches specific valuation milestones.

Anthropic says it will share more details on the fund’s structure and governance in coming months, including those valuation milestones, and will publish a public benefit report on progress against its mission.
